Terms of Service

These Terms govern your use of Valen AI Solutions services. By using our website, dashboard or AI receptionist service, you accept these Terms.
1. Service
Valen AI Solutions provides an AI receptionist that answers calls, replies to SMS, WhatsApp and email, and books meetings on behalf of small businesses. We deliver this service from Marbella, Spain.
2. Plans, fees & billing
Standard retainer: €497/month + €400 one-time onboarding fee. Plans include 2,000 AI minutes per month. Additional minutes are billed at €0.15/minute. We invoice monthly in advance via SEPA or card. Late payment after 14 days may trigger service suspension.
3. Trial and cancellation
New clients may cancel during the first 14 days for a pro-rata refund of the monthly retainer (the €400 onboarding fee is non-refundable once setup is complete). After 14 days, clients can cancel any time with 30 days' notice.
4. Acceptable use
You may not use our service for fraud, spam, harassment, robocalling, political campaigning or any unlawful purpose. We will suspend accounts breaching these rules. You are responsible for the content of your AI's prompt and for complying with telephony and consumer laws in your jurisdiction.
5. Data Processing Agreement
By signing up, you agree to our standard Data Processing Agreement available on request at hello@valenaisolutions.com. It governs us acting as your data processor under GDPR Art. 28.
6. Service availability
We target 99.5% monthly uptime. Scheduled maintenance is announced in advance. Force majeure (Retell or upstream telephony outages) is excluded from SLA.
7. Liability
Our maximum aggregate liability per 12-month period is capped at the total fees paid by you in the preceding 12 months. We are not liable for indirect, consequential or lost-profit damages, except in cases of gross negligence or willful misconduct.
8. Termination
Either party may terminate for material breach not cured within 14 days. Upon termination we export your data on request and securely delete it within 30 days.
9. Governing law & venue
These Terms are governed by Spanish law. Exclusive jurisdiction lies with the courts of Málaga, Spain, unless mandatory consumer-protection rules apply.
